These Terms of Service ("Terms") govern the access to and use of the AdKnot platform by any individual or organisation (hereinafter: "User", "you"). By registering an account or accessing the platform, you agree to be bound by these Terms. If you are using AdKnot on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

You must have the legal capacity to enter into binding contracts in order to use AdKnot. By registering, you confirm that all information you provide is accurate and complete, and that you will keep it up to date. Adon reserves the right to suspend or terminate accounts where this requirement is not met or where information provided is found to be false or misleading.

AdKnot is a multi-tenant performance analytics platform designed for ecommerce brands and agencies. It enables users to connect advertising and store data, analyse performance metrics, manage workspaces and team members, and administer billing and subscriptions.

Adon may add, modify or discontinue features of the platform at any time. Where changes are material, Adon will endeavour to provide reasonable prior notice to users.

In order to use AdKnot, a data subject must register an account by providing accurate information including their name, e-mail address and a password. Each user is responsible for:

• Providing accurate and complete registration information.
• Maintaining the confidentiality of their login credentials.
• All activity that occurs under their account, whether authorised or not.

A user must notify Adon immediately at info@adontechnologies.com if they suspect unauthorised access to their account. Adon shall not be liable for losses resulting from compromised credentials where reasonable security practices have not been followed.

Users may not share account credentials or create accounts for the purpose of circumventing suspensions or restrictions imposed by Adon.

AdKnot operates on a workspace model. Each workspace has an Owner and may have multiple members with different roles and levels of access. Workspace Owners are responsible for managing their workspace, including inviting members, assigning roles, connecting data sources, and ensuring that all members comply with these Terms.

Agencies managing multiple client brands are responsible for obtaining all necessary consents and authorisations from their clients before connecting client data to AdKnot. Adon shall not be responsible for any failure by an agency to obtain such authorisations.

AdKnot integrates with third-party platforms and services, including Google Ads and Shopify, via their respective APIs. By connecting these services, a user also agrees to the applicable terms of service and privacy policies of those third parties.

A user is solely responsible for ensuring they hold the necessary authorisations to connect third-party accounts to AdKnot. Adon shall not be responsible for the accuracy, availability or continuity of data provided by third-party platforms, nor for changes those platforms make to their APIs or data structures.

Access to AdKnot is governed by the subscription plan chosen by the user. By providing payment details, a user authorises Adon to charge the relevant payment method on a recurring basis in accordance with the selected plan.

A user may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period. Adon does not issue partial refunds for unused periods, except where required by applicable law.

Adon reserves the right to modify subscription pricing. Where a price increase is introduced, Adon will provide at least thirty (30) days' notice by e-mail. Continued use of the platform after the effective date of any price change constitutes acceptance of the updated pricing.

Prices are exclusive of applicable taxes, including VAT where applicable. The user is responsible for any taxes applicable to their use of the platform.

A user agrees not to use AdKnot in any manner that:

• Violates any applicable law or regulation, including data protection laws.
• Infringes the intellectual property rights of Adon or any third party.
• Introduces malware, viruses or other harmful components.
• Attempts to gain unauthorised access to other users' accounts or workspaces.
• Circumvents rate limits, security controls or access restrictions.
• Involves the use of automated tools to access or extract data from the platform without Adon's prior written consent.
• Misrepresents a user's identity or affiliation when contacting support or other users.

Violations of these requirements may result in immediate suspension or termination of the user's account without refund.

Use of AdKnot is also governed by Adon's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how Adon collects, uses, stores and protects personal data in accordance with UK GDPR and the Data Protection Act 2018.

A user retains ownership of their own business data. By using AdKnot, a user grants Adon a limited licence to process their data solely for the purposes of providing the services described in these Terms. Adon does not sell user data to third parties.

AdKnot, the AdKnot platform, its design, software and all associated intellectual property are owned by Adon Technologies LTD. These Terms do not grant a user any rights to Adon's intellectual property beyond the limited right to use the platform as described herein.

A user may not copy, reproduce, modify, distribute or create derivative works of any part of AdKnot without Adon's prior written consent. A user retains all rights to their own data, branding and content connected to the platform.

To the maximum extent permitted by applicable law, Adon shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from a user's use of, or inability to use, AdKnot. Adon shall not be liable for decisions made by a user based on data or reports displayed within the platform.

Adon's total aggregate liability for any claim arising from these Terms or the use of the platform shall not exceed the total fees paid by the user to Adon in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under UK law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

A user agrees to indemnify, defend and hold harmless Adon Technologies LTD and its officers, directors, employees and agents from any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising from:

• The user's violation of these Terms.
• The user's misuse of the platform.
• The user's infringement of any third-party rights.
• Data connected to AdKnot from third-party services without proper authorisation.

A user may terminate their account at any time by cancelling their subscription and contacting Adon at info@adontechnologies.com.

Adon may suspend or terminate a user's account immediately where:

• The user has breached these Terms.
• Adon is required to do so by law or a competent authority.
• Continued operation of the account poses a risk to other users or to the platform.

On termination, a user's access to the platform will cease. Data retention following termination is governed by Adon's Privacy Policy.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or a user's use of AdKnot shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any legal proceedings, Adon encourages users to contact info@adontechnologies.com to seek an informal resolution.

Adon reserves the right to modify these Terms of Service. Any modification will be announced on this page. Adon therefore advises users to regularly check this page to see if any modifications have been made. Continued use of AdKnot after the effective date of updated Terms constitutes acceptance of the changes.
